TLDR
Salesforce agreed to acquire customer-engagement platform Braze for about US$5.66 billion, a 58% premium, to add real-time AI personalisation to Marketing Cloud. Braze has about 2,770 customers, including Sydney-founded Canva, and the deal is expected to close in Salesforce's fiscal 2028.
KEY TAKEAWAYS
The deal
Salesforce agreed on 20 October to buy customer-engagement platform Braze for about US$5.66 billion in enterprise value, paying Class A shareholders US$47.50 a share in cash.[1] That is a 58% premium to Braze's previous close, and Axios counts it as Salesforce's fifth-largest acquisition.[2] Braze shares rose more than 50% on the news.[3]
The deal needs Braze shareholder approval and regulatory clearance. Salesforce expects it to close in its fiscal 2028 and says it does not change its FY27 guidance.[1]
The gap Braze fills
Braze sells real-time engagement and AI decisioning: tools that turn what a customer is doing right now into a personalised message. It has about 2,770 customers, including Canva, Instacart, Urban Outfitters and Venmo, and 15 offices across the Americas, EMEA and APAC.[1] Salesforce says Braze will strengthen Marketing Cloud's cross-channel personalisation and plug into Data 360, Customer 360 and Agentforce. "Bringing that capability together with Salesforce Marketing Cloud, CRM, and Data 360 will deliver that wow moment in every customer interaction," said Patrick Stokes, Salesforce's president of applications and marketing.[1]
Analysts read it as an admission. Shay Boloor of Futurum Equities called Braze "a real-time engagement layer that its marketing business has historically lacked."[3] Axios put it more bluntly: "Why build when you can buy?" Salesforce paid about US$8 billion for Informatica last year, and Axios notes the company wound up its board M&A committee in 2023 partly because integrating MuleSoft, Tableau and Slack proved hard.[2]
Braze chief executive Bill Magnuson said: "Salesforce shares our commitment to marketers, and we'll continue building as Braze."[1]
The Australian read
Sydney-founded Canva is one of the Braze customers Salesforce named, which makes this a global martech deal with a direct Australian reference point. For Australian marketing and CRM teams that run Salesforce Marketing Cloud or Braze, two platforms that have competed for the same budget will eventually sit with one vendor. Nothing changes before the deal closes in Salesforce's fiscal 2028, but Braze customers renewing contracts in the meantime have a reason to ask what the roadmap looks like inside Salesforce, and Marketing Cloud customers have a reason to ask whether Braze becomes the real-time layer they are sold next.
